CPC - AAI Sign Final Agreement

Final agreement was signed yesterday for petroleum exploration in Taiwan by a U.S.firm.
The agreement, the result of negotiations which began in july 1960 , was between the Chinese Petroleum Corporation and Asiatic-American Inc. Mr. Jerome S.N. Hu, president of CPC and Jimmy I.C. Chiang, President and Chairman of Board of AAI,signed the agreement at CPC Headquarters in Taipei.
Asiatic-American began in the summer of 1958 to investigate local geological conditions and to see possibilities of negotiations with Chinese Petroleum.The main Points of agreement are:
1)AAI shall organize a "Chinese Company"according to the Chinese Company Law.
2)AAI shall spend a minimum of one million U.S. dollars for petroleum exploration in each twelve months period in conducting their exploration work either on one hunderd thousand hectares prospecting area in the western plain area or on three stuctures in foothills as selected by mutual agreement.The cost of purchase of any equipment for drilling or for completion of service paid by AAI shall be addition to this amount. If AAI selects the prospecting area larger than one hundred thousand hectares or more than three structures, then amount of investment shall be increased accordingly.

3)AAI shall have the right to select the prospecting area or structure as agreed by CPC but shall in no way interfere with the operations of CPC.
4)Before AAI commences to drill the first well at the selected structure, such structure shall be previously delineated in checkerboard divisions at 100-hectare tracts. When AAI selects and drills the first well at a certain tract, they will gain all alternate tracts, and CPC will retain the remaining tracts at the structure. In the event that AAI gets production from their tracts, AAI shall pay to CPC a royalty in kind of one eighth or 12.5% of all oil and gas produced at the wellhead.
CPC shall develop the remaining half of the alternate tracts retained by herself.
5)CPC shall have the priority to purchase the oil and gas produced by AAI.
6)If AAI fails to take action, as stated in the agreement,it shall be automatically terminated.
According to terms of the agreement , AAI shall relinquish and surrender to CPC the non-productive districts and/or structures which have been tested by AAI. CPC shall carry out its own exploration without any restriction from the agreement.
